End User License Agreement (EULA)

1. License Grant

Subject to the terms and conditions of this EULA and payment of applicable fees, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Managerp Neo software ("Software") for your internal business purposes.

• Scope: The license is valid for the specific plan, number of users, and number of companies purchased.
• Duration: As specified in your order (annual subscription, lifetime, or other term). "Lifetime" means 14 years or until the Company discontinues active development, whichever is earlier.
• Territory: Worldwide, unless otherwise restricted by applicable export control laws.

2. License Restrictions

You may NOT:

• Copy, distribute, sell, resell, lease, rent, lend, sublicense, or otherwise transfer the Software or any license key to any third party
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software
• Modify, adapt, translate, or create derivative works based on the Software
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices
• Use the Software in any manner that violates applicable laws or regulations
• Circumvent, disable, or tamper with any license key validation, security mechanisms, or usage tracking
• Use the Software to provide services to third parties as a service bureau, hosted service provider, or managed service provider without a separate written agreement
• Exceed the usage limits specified in your purchased plan
• Install or use the Software on more systems than authorized by your license
• Share license keys, activation codes, or login credentials across different organizations

3. License Key and Activation

The Software is protected by license key validation and activation mechanisms. You agree that:

• Each license key is unique and tied to your registered account
• License keys may be invalidated if the Company detects a breach of this EULA
• You will not attempt to generate, obtain, or use fraudulent or unauthorized license keys
• Activation requires an Internet connection for initial validation
• The Company may periodically validate your license key online
• Any attempt to bypass activation or create unauthorized license keys will result in immediate termination of this license and may subject you to legal action

4. Ownership and Intellectual Property

The Software is licensed, not sold. The Company retains all right, title, and interest in and to the Software, including all intellectual property rights, copyrights, patents, trade secrets, trademarks, and any derivative works. This EULA does not grant you any ownership rights in the Software. You acknowledge that the Software contains proprietary and confidential information protected by applicable intellectual property laws.

5. Updates and Upgrades

The Company may, at its sole discretion, provide updates, patches, bug fixes, or new versions of the Software. The terms of this EULA apply to all such updates unless a separate license agreement accompanies them. The Company reserves the right to:

• Determine the frequency and content of updates
• Discontinue support for older versions
• Require installation of updates for continued operation
• Charge additional fees for major version upgrades

6. Data and Privacy

Your use of the Software is subject to our Privacy Policy. The Software may collect, store, and transmit usage data, error reports, and other anonymized information to improve the Software. You are responsible for maintaining backups of your data and for complying with all applicable data protection laws.

7. No Warranty

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED "AS IS" AND "WITH ALL FAULTS", WITHOUT ANY WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. THE COMPANY SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. YOU ASSUME THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE SOFTWARE.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR BUSINESS INTERRUPTION) ARISING OUT OF OR RELATED TO THIS EULA OR THE USE OF OR INABILITY TO USE THE SOFTWARE, REGARDLESS OF THE LEGAL THEORY UNDER WHICH LIABILITY IS ASSERTED AND EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

The Company's total aggregate liability for any and all claims arising from or relating to this EULA or the Software shall not exceed the lesser of: (a) ₹100 (Indian Rupees One Hundred only), or (b) the minimum amount permitted by applicable law.

9. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or relating to:

• Your use of the Software in violation of this EULA
• Your violation of any applicable law or third-party right
• Any data or content you create, store, or transmit using the Software
• Any dispute between you and a third party arising from your use of the Software

10. Term and Termination

This EULA is effective from the date you first install or use the Software and continues until terminated. The Company may terminate this EULA immediately without notice if:

• You breach any term of this EULA
• You fail to pay applicable fees when due
• You violate any applicable law
• The Company decides to discontinue the Software

Upon termination, you must immediately cease all use of the Software, uninstall all copies, and destroy all license keys. No refunds or compensation will be provided upon termination for any reason.

11. Export Compliance

You agree to comply with all applicable export control laws and regulations. You represent and warrant that you are not located in, under the control of, or a national or resident of any country subject to applicable trade sanctions or embargoes.

12. Governing Law and Jurisdiction

This EULA shall be governed by and construed in accordance with the laws of India. Any disputes arising from or related to this EULA shall be subject to the exclusive jurisdiction of the courts in Agra, Uttar Pradesh, India.

13. Entire Agreement

This EULA constitutes the entire agreement between you and the Company concerning the Software and supersedes all prior or contemporaneous communications, proposals, and agreements, whether oral or written. If any provision of this EULA is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
