By accessing and using Managerp Neo software and services provided by SharpLite Systems LLP, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. License and Usage

Upon purchasing a license, you are granted a non-exclusive, non-transferable license to use the Managerp Neo software according to the plan purchased. The license is valid for the specified number of users and companies as per your subscription.

  • Free Plan: Limited to 1 user and 1 company
  • Paid Plans: Usage limits as specified in the purchased plan
  • License is non-transferable between organizations
Definition of "Lifetime"

For plans offering "Lifetime" license validity, "Lifetime" means:

  • 14 years from the date of purchase, OR
  • Until SharpLite Systems LLP decides to discontinue active development and support of Managerp Neo software,
  • Whichever is earlier

SharpLite Systems LLP reserves the right to modify the lifetime validity period in future at its sole discretion, with reasonable notice to existing license holders. The license validity granted at the time of purchase represents our current commitment, but software development timelines may change based on market conditions, technological advancements, or business decisions.

3. Payment and Billing

All payments are processed securely through our authorized third-party payment service providers. By making a purchase, you agree to:

  • Provide accurate and complete payment information
  • Pay all applicable fees and taxes
  • Automatic renewal for subscription plans unless cancelled
  • Comply with the terms and conditions of our payment providers

You acknowledge that payment transactions are governed by the terms, conditions, and privacy policies of the respective payment service provider. We are not responsible for any issues arising from your use of payment services, except as required by applicable law.

4. No Refund Policy

The Company operates a strict no-refund policy. All sales are final and non-refundable. Please refer to our No Refund Policy page for complete details. By making a purchase, you expressly waive any right to claim a refund, except where mandated by applicable consumer protection law that cannot be contractually excluded.

5. Intellectual Property

All software, designs, logos, and content provided by SharpLite Systems LLP are protected by copyright and intellectual property laws. You may not:

  • Reverse engineer or decompile the software
  • Distribute or resell the software
  • Remove any copyright notices or branding

6. Support and Maintenance

Support services vary by plan:

  • Free users: Community support and documentation
  • Paid users: Email support as per plan terms
  • No guaranteed response time for free users
AI-Generated Support Responses

Important Disclaimer: Our support system may utilize artificial intelligence (AI) to generate responses to support tickets. By using our support services, you acknowledge and agree that:

  • AI-generated responses are not guaranteed to be correct, accurate, or appropriate.
  • The Company, its employees, and agents shall not be responsible for any damages, losses, or consequences arising from AI-generated responses.
  • You should independently verify any information provided by AI before taking any action based on it.
  • For critical issues, please request human assistance.
Chat Communications

Any chat communications through our Website are not legally binding on the Company. The Company does not control, monitor, or endorse third-party chat services. Chat communications are provided for informational purposes only, and no guarantees of correctness or appropriateness are made.

THE SOFTWARE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, COMPLETENESS, OR UNINTERRUPTED OR ERROR-FREE OPERATION.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SharpLite Systems LLP, its officers, directors, employees, agents, and affiliates shall not be liable for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages whatsoever, including but not limited to loss of profits, revenue, data, goodwill, business opportunities, use, or other intangible losses, resulting from:

  • Your use or inability to use the software or services
  • Any changes made to the software or services
  • Any permanent or temporary cessation of the software or services
  • The deletion of, corruption of, or failure to store any data or content
  • Your failure to maintain adequate backups
  • Any bugs, viruses, errors, or other harmful code
  • Any unauthorized access to or alteration of your data
  • Any statements or conduct of any third party
  • Any other matter relating to the software or services

This limitation of liability applies regardless of the legal theory under which liability is asserted, whether in contract, tort (including negligence), strict liability, or otherwise, even if the Company has been advised of the possibility of such damages.

In any event, the Company's total aggregate liability for any and all claims arising from or relating to the use of the software or services shall not exceed the lesser of: (a) ₹100 (Indian Rupees One Hundred only), or (b) the minimum amount permitted by applicable law.

9. Indemnification

You agree to indemnify and hold harmless SharpLite Systems LLP, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

10. Termination

We reserve the right to terminate or suspend your account at any time, with or without cause, with or without notice. Upon termination, your right to use the software will cease immediately. No refunds, credits, or compensation of any kind will be provided for any termination, suspension, or interruption of service, including for partial subscription periods, prepaid amounts, or unused services.

11. Changes to Terms

We may update these terms at any time without prior notice. Changes will be posted on this page. Continued use of our services after changes constitutes acceptance of the new terms.

12. Governing Law and Jurisdiction

These Terms shall be governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Agra, Uttar Pradesh, India.

By using our Services, you agree to submit to the jurisdiction of such courts. This jurisdiction clause may be changed by us through updated Terms of Service.
